TERMS & CONDITIONS

Welcome to K&S Dynamics LLC (“Company,” “we,” “us,” or “our”). By accessing this website or purchasing services from K&S Dynamics LLC, you agree to be bound by these Terms & Conditions. If you do not agree, do not use our website or services.


1. Services

K&S Dynamics LLC provides business operations services including, but not limited to, CRM configuration, automation workflows, websites, lead capture systems, and related consulting services.

All services are delivered under defined scope, fixed pricing, and fixed timelines as outlined in the client’s agreed proposal, invoice, or service description.

Any service not explicitly listed in the agreed scope is not included and requires a separate written agreement and additional fees.


2. Scope Control & Revisions

Each project includes only what is explicitly listed in the agreed scope.

Unless otherwise stated, projects include one (1) revision round.

Additional revisions, changes, or requests outside the defined scope are considered new work and will be billed separately.

Verbal statements or informal messages do not modify scope.

Failure to provide required inputs, assets, or approvals may pause the project timeline without penalty to K&S Dynamics LLC.


3. Payments & Billing

All services require payment as agreed prior to delivery.

Typical structure: 50% deposit upfront, 50% balance due upon delivery, unless otherwise stated in writing.

Work does not begin until required payments are received.

Late or failed payments may result in paused services, restricted access, or termination of work.


4. Refund Policy

All sales are final.

Once work has commenced, no refunds will be issued under any circumstances, including but not limited to dissatisfaction, business changes, delays caused by the client, or perceived lack of results.


5. Delivery & Completion

A project is considered complete when:

Agreed deliverables are implemented,

Core functionality is tested,

Access or handoff is provided.

Post-delivery changes, optimizations, or ongoing support are not included unless explicitly contracted.


6. Intellectual Property & License

All systems, workflows, templates, and frameworks developed by K&S Dynamics LLC remain our intellectual property unless otherwise stated.

Clients are granted a non-exclusive, non-transferable license to use delivered assets for their internal business operations only.

Clients may not resell, duplicate, or redistribute our systems without written permission.


7. Third-Party Services

We may integrate or configure third-party platforms (including CRM, SMS, email, hosting, analytics, or scheduling tools).

We are not responsible for:

Third-party outages

Platform changes

Pricing changes

Account suspensions

Data loss caused by third-party providers

Clients are responsible for maintaining active accounts with required platforms.


8. No Guarantees

We do not guarantee:

Revenue outcomes

Lead volume

Conversion rates

Business growth

Results depend on client execution, market conditions, and factors beyond our control.


9. Limitation of Liability

To the maximum extent permitted by law, K&S Dynamics LLC’s total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages.


10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.

Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be handled through binding arbitration or small claims court, at our discretion.


11. Entire Agreement

These Terms, along with any written proposal or invoice, constitute the entire agreement between the parties and supersede all prior communications.


12. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the website or services constitutes acceptance of the revised Terms.
